 Introduction

Welcome to Resource Square, your trusted partner in recruitment services. These Terms & Conditions govern the use of our recruitment services, website, and interactions between Resource Square (“we,” “us,” or “our”) and you, the client (“you” or “your”). By engaging with our services, you agree to comply with and be bound by these terms. Please read them carefully.

 Definitions

– Client: Refers to any individual, company, or entity that engages Resource Square to provide recruitment services.
– Candidate:  Means an individual who is considered, applied for, or has been placed in a job vacancy through Resource Square.
– Services: Encompasses all recruitment activities provided by Resource Square, including but not limited to candidate sourcing, screening, interviewing, and placement services.

Service Provision

Resource Square agrees to provide recruitment services to the Client in accordance with these Terms & Conditions. Our services are tailored to meet your specific needs, from candidate sourcing to final placement. We commit to using reasonable care and skill in all our services.

Client Obligations

The Client agrees to:
– Provide accurate and complete information regarding job vacancies and qualifications required for potential candidates.
– Notify Resource Square immediately of any changes to the job specifications or other relevant information.
– Refrain from engaging in any direct negotiations or employment discussions with candidates introduced by Resource Square without our knowledge and agreement.

Fees and Payment

– Fees for our recruitment services will be agreed upon in advance and outlined in a separate agreement or invoice.
– Payment terms will be specified in the agreement or invoice, typically requiring payment within 30 days of the invoice date.
– Late payments may incur interest at the statutory rate.

Confidentiality

Both parties agree to treat all information regarding candidates and the recruitment process as confidential. This includes candidate resumes, interview notes, and any communication regarding potential employment. Confidential information does not include information that is publicly available or known prior to the engagement of our services.

Liability

Resource Square will not be liable for any indirect or consequential losses incurred by the Client arising out of our provision of recruitment services, except where such liability cannot be excluded by law. Our total liability under these Terms & Conditions shall not exceed the total fees paid by the Client for the services from which the claim arises.

 Data Protection

Resource Square will comply with all applicable data protection laws in processing any personal data received from the Client or candidates. The Client also agrees to comply with such laws in respect of any personal data shared with them by us.

Termination

Either party may terminate the agreement governed by these Terms & Conditions with written notice if the other party breaches any term and fails to correct this breach within a specified period. Upon termination, all unpaid fees become immediately due.

Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Amendments

Resource Square reserves the right to amend these Terms & Conditions at any time. Any amendments will be effective upon posting on our website or notification to you.
